These Terms of Service (“Terms”) form a contract between you and VisualJJ Limited (“VisualJJ”, “we”, “us”). By accessing the website, installing the VisualJJ extension, or using any VisualJJ software, products, or services (collectively, the “Service”), you agree to these Terms.

The End-User License Agreement (“EULA”) presented during installation forms part of these Terms and governs software licensing. If these Terms and the EULA conflict, the EULA controls for software licensing; these Terms control commercial and website terms.

1. Changes

We may update these Terms. We will post changes here and update the effective date. Your continued use after changes take effect constitutes acceptance.

2. The Service and distribution

VisualJJ integrates Jujutsu (JJ) and Git workflows with Visual Studio Code and other IDEs.

Distribution and hosting may include the VisualJJ website and third-party stores such as Microsoft Marketplace or OpenVSX. Third-party platforms and integrations (e.g., GitHub, GitLab) are governed by their own terms and privacy notices, which apply in addition to ours.

3. Accounts and eligibility

You must be legally capable of entering into contracts in your jurisdiction (or have valid guardian consent). If you use the Service on behalf of an entity, you confirm you have authority to bind that entity.

4. Plans and licensing

We offer Free and Pro plans as described on the Pricing page. Plan features, limits, and eligibility (including any contributor or usage limits) are defined on the Pricing page and may change. The license grant and permitted use of the Software are defined in the EULA.

5. Purchases, billing, and taxes

Merchant of Record. For purchases via our checkout, Paddle.com acts as the seller of record, issues invoices/receipts (including VAT where applicable), processes payments in your local currency, and handles currency conversion. Paddle’s checkout terms and privacy policy apply.

Renewals and cancellation. Subscriptions renew automatically until cancelled. You can cancel at any time; access continues until the end of the current term. Material pricing changes for existing subscriptions will be communicated in advance and apply on renewal.

Marketplaces. If you purchase through a third-party marketplace, that marketplace is the seller for that transaction and its billing and refund terms apply.

6. Privacy, telemetry, and security

We process personal data as described in our Privacy Policy.

The Software may collect diagnostic and usage telemetry (e.g., feature usage counts, performance metrics, crash reports) to improve reliability and UX. You can opt out via configuration settings. We do not collect your private repository content unless you explicitly opt in (e.g., to use certain AI features or when you share a snippet with support).

When using GitHub or other integrations via your editor, access tokens are typically stored by the editor and/or your OS keychain. VisualJJ does not store your GitHub access token unless explicitly stated in-product.

7. Acceptable use

You agree not to:

  • reverse engineer or circumvent license controls except as permitted by law;
  • use the Service to violate law or infringe intellectual property or privacy;
  • interfere with or disrupt the Service or others’ use of it;
  • resell, sublicense, or host the Service for third parties without our permission.

8. Early Access and beta features

Features labelled Early Access or Beta are experimental, may change or be discontinued, and are provided “as is.” During Early Access, no uptime or availability service levels are provided; support is best-effort.

9. Intellectual property and feedback

We and our licensors own the Service, Software, and branding. You retain rights in your code and content. If you provide feedback, you grant VisualJJ a perpetual, irrevocable, worldwide, royalty-free license to use it without attribution or compensation.

10. Consumer cooling-off (UK/EEA)

If you are a consumer in the UK or EEA, you may have a statutory right to withdraw from a new subscription within 14 days. By starting to download, install, or access paid digital content during that period, you request and consent to immediate performance and acknowledge you may lose the right to withdraw once delivery begins. This section supplements our Refund Policy and does not limit non-waivable rights.

11. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.

12. Limitation of liability

To the maximum extent permitted by law, VisualJJ and its suppliers will not be liable for indirect, incidental, special, consequential, or exemplary damages, or any loss of profits, revenue, data, or goodwill. Our total liability for all claims relating to the Service will not exceed the amounts paid by you to us for the Service in the 12 months prior to the claim. Nothing in these Terms limits liability that cannot be limited by law.

13. Suspension and termination

We may suspend or terminate the Service or your access if you breach these Terms, if required for security or operational reasons, or by law. You may stop using the Service at any time. Sections that by their nature should survive (including ownership, license restrictions, disclaimers, limitations, payment obligations, and governing law) will survive termination.

14. Export and sanctions

You must comply with applicable export control and sanctions laws and represent that you are not a prohibited party.

15. Governing law and venue

These Terms are governed by the laws of England and Wales (conflict rules excluded). The courts of England have exclusive jurisdiction, subject to any mandatory consumer protections in your jurisdiction.

16. Assignment and changes in control

You may not assign these Terms without our consent. We may assign these Terms and any rights or obligations (including in connection with a merger, acquisition, or sale of assets) with notice where required by law.

17. Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including failures of third-party services, networks, or infrastructure.

18. Marketing and publicity

If you are a business or other organisation, we may use your company name and logo to identify you as a customer on our site and in marketing materials. No endorsement is implied. Case studies, testimonials, or quotes require prior written consent. All trademark rights remain with you, and we will follow any reasonable brand guidelines you provide.

19. Notices

We may provide notices by email to the address associated with your account or by posting on the Site. You may provide legal notices to us at support@visualjj.com.

20. Entire agreement; severability; no waiver

These Terms (together with the EULA and policies referenced here, including the Privacy Policy and Refund Policy) are the entire agreement regarding the Service. If any provision is unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver.
